Terms of Service

Welcome to Optevo Inc. (“Optevo”). These Terms of Service (“Agreement”) govern your access to and use of Optevo’s software-as-a-service platform (“Optevo Platform”) and related work management and project management solutions (collectively, the “Services”).

By accessing or using the Optevo Platform or Services, or by entering into a Sales Agreement, you confirm that you have read, understood, and agreed to the terms of this Agreement. If you do not agree to these terms, you may not access or use the Optevo Platform or Services.

1. Definitions

Services: The solutions provided by Optevo, including but not limited to work management, project management, customer relationship management (CRM), billing, invoicing, and other productivity tools designed to streamline workflows, enhance collaboration, and improve business outcomes.

Sales Agreement: A subscription agreement, contract, or purchase order specifying the Services purchased, including applicable fees, terms, and usage limits.

Optevo Platform: The web-based and mobile-accessible software that powers Optevo’s Services, accessible globally through www.Optevo.com, my.optevo.com, www.optevo.ai, or other approved access points.

2. Modifications to Terms, Services, and Platform

Optevo may modify this Agreement, Services, or the Optevo Platform at any time to adapt to evolving business, technical, or legal requirements. Updated terms will be effective upon posting to the Optevo Platform or by providing other notice. Your continued use of the Services constitutes acceptance of these changes.

3. Global Access and Compliance

Global Availability: Optevo offers its Services worldwide, with a primary focus on businesses operating in the United States. You are responsible for ensuring compliance with the laws and regulations of your local jurisdiction when accessing or using the Services.

Localized Restrictions: Optevo reserves the right to restrict access to the Services in certain regions to comply with local regulations, legal requirements, or business considerations.

4. Eligibility and Account Registration

Eligibility: To use the Services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Be authorized to enter into binding agreements on behalf of yourself or your organization.

Account Registration: You must create an account to access the Services. If you represent an organization, you confirm that you have the authority to bind the organization to this Agreement. Account details must be accurate, complete, and updated as needed.

Account Authority: Each account must have an Account Authority responsible for managing user permissions, subscriptions, and disputes. Optevo will rely on the instructions of the Account Authority for account-related matters.

5. Subscription and License Terms

License Grant: Optevo grants you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services during the term of your subscription for internal business purposes.

Prohibited Uses: You may not:

  • Resell, sublicense, or share the Services with unauthorized third parties.
  • Reverse-engineer, disassemble, or modify the Optevo Platform.
  • Use the Services in violation of applicable laws or regulations.

6. Fees, Billing, and Payment

Fees: Fees for the Services are outlined in your Sales Agreement. All fees are non-refundable, except as explicitly stated in this Agreement.

Payment Terms: Unless otherwise stated in your Sales Agreement, payments are due in advance and billed on a recurring basis. You authorize Optevo to charge the payment method associated with your account.

Taxes: You are responsible for all applicable taxes, duties, and similar charges, except taxes based on Optevo’s net income.

7. Termination

Termination by You: You may terminate your subscription at any time with 30 days’ notice before the end of your billing cycle. If you are on an annual subscription, termination must be requested at least 30 days before the renewal date.

Termination by Optevo: Optevo may terminate this Agreement or suspend your access to the Services if:

  • You breach this Agreement or applicable laws.
  • Payment is overdue, and the issue is not resolved within the specified grace period.

Effect of Termination: Upon termination:

  • Access to the Services will cease at the end of the current billing cycle.
  • Customers on annual plans terminating mid-term will not receive prorated refunds unless specified in the Sales Agreement.
  • Optevo may delete your data within a reasonable period unless otherwise required by law.

8. Data Privacy and Security

Hosting and Security: Optevo’s platform is hosted on Microsoft Azure, leveraging its state-of-the-art infrastructure, security measures, and global compliance certifications (e.g., SOC 2, GDPR, HIPAA). More details about Azure’s security framework are available at Azure Trust Center.

AI Data Processing: Optevo may process user data using AI algorithms to deliver AI-powered features. All AI data processing complies with Optevo’s Privacy Policy and relevant regulations. Optevo anonymizes and aggregates data whenever possible to maintain user confidentiality.

Data Ownership: You retain ownership of all content, data, and materials uploaded to the Optevo Platform (“Your Content”). Optevo has a limited license to process Your Content solely to provide the Services.

Data Backups: You are responsible for maintaining independent backups of Your Content. Optevo is not liable for loss or damage to data resulting from your failure to back up Your Content.

16. AI and Automation

AI Integration: Optevo integrates artificial intelligence (AI) and automation features into its platform to enhance user productivity, streamline workflows, and provide actionable insights. AI functionality may include:

  • Automated task management and prioritization.
  • Predictive analytics for project outcomes and deadlines.
  • Natural language processing (NLP) for automated communication and analysis.
  • Recommendations for workflow optimizations and resource allocation.

User Responsibility: You are responsible for verifying AI-generated insights and outputs. While Optevo’s AI aims to provide accurate and reliable information, it may not account for all variables specific to your business or projects. Optevo is not liable for decisions made solely based on AI outputs.

Continuous Improvement: Optevo’s AI models improve over time through aggregated, anonymized data analysis. By using the platform, you agree that Optevo may use non-identifiable information derived from your usage to enhance AI accuracy and performance.

Limitations of AI: Optevo’s AI tools are provided as aids to improve productivity and decision-making. However:

  • AI-generated outputs may occasionally produce inaccurate or incomplete recommendations.
  • They should not be used as the sole basis for critical decisions.
